The objective of this paper is to understand how the constitution of the private-commercial sector of higher education in Brazil and the commodification of this educational level took shape, emphasizing the movements of financialization and oligopolization of the sector. The study is the result of bibliographic and documental research with an emphasis on the analysis of federal educational legislation at the federal level. It is understood that the company mergers, incorporations and acquisitions of higher education institutions has provided the growth of the private sector through the logic of financial capital and the constitution of oligopolies. The hegemonic trend of transnationalization of capital in the private mercantile sector of higher education is evidenced, requiring evaluation and discussion of its contribution to citizen formation and the scientific and social development of the country.
